    • Subject: Foreign investors (organization/individual).
    Note: If investing in form of capital contribution, purchase of shares or contributed capital to an existing enterprise in Vietnam, investors need to obtain M&A Approval (no need to obtain an IRC).
    • Procedure:
    Step 1: Online declaration and submission Register online and obtain an online declaration code. . Submit the dossier at the Receiving and Result Return Division within 15 days and obtain the Notice on Submission and Result Return. Step 2: Assessment The assessment division reviews the validity of the dossier and investor's fulfillment of the requirements and submits for approval (M&A Approval or Request on Document Supplement); Step 3: Result Return: Receive results at the Receiving and Results Division.
    • Required documents: 01 set

    - Registration form for capital contribution, purchase of shares/contributed capital of foreign investors  (according to Form A.I.7 as provided in  Circular số 03/2021/TT-BKHĐT); 

    - Copy of Land Use Right Certificate of target company which is located at an ar🔯ea that affects national defense and security (if an🅠y);

    - Shares Purchase Agreement between  investors and existing shareholders/capital contributors/the target company; - Copy of the certificate of establishment or equivalent document proving the legal status of the target company; - Copy of national ID card, citizen identification card or passport of individual investors; Copy of the certificate of establishment or any equivalent document proving the legal status of organization investors.
    • Processing Time: 10 days from the date of the reciept of complete and valid documents (5 days shorter than regulated term).
    • Administrative Agency: Investment registration authority (Department of Planning and Investment or Management Board of Industrial Parks, Export Processing Zones, High-Tech Zones, Economic Zones).
    • Result: M&A Approval

    • Requirements and conditions for administrative procedures:
    - Notice on the receipt of documents and result return. - National ID card or other legal documents of competent individuals; In case of authorization for the filing, the authorized person(s) must also present one of the following (i) contract with the service organization for the filing and receiving result and introduction letter of such organization for the individual submitting and receiving result; (ii) Letter of attorney as required by the laws.
